Baublebox Ambassador Program Terms and Conditions

Welcome to the Baublebox Ambassador Program! We're thrilled to partner with you and help spread the sparkle of Baublebox jewelry and accessories. Please read the following Terms and Conditions carefully, as they are a legal document that set out the agreement between Baublebox ("we," "us," or "our") and you, the Ambassador ("you" or "Ambassador"). By participating in our Ambassador Program, you agree to the following terms:
1. Ambassador Commission, Payment, and Links

Ambassadors will earn a 20% commission on sales made through their unique URL.

Commission is only applicable for purchases made using the unique URL provided to you.

Ambassadors can use their unique links as much as they want and on as many platforms or websites as they desire.

Ambassadors are strictly prohibited from bidding on or purchasing through their own unique URL. Doing so will result in immediate termination of the agreement.

Failure to promote or share the unique URL correctly may result in commission not being paid. Baublebox will not be held responsible for lost or unpaid commissions in such cases.

Payments will be made on a monthly basis via the payment method specified by Baublebox.
2. Content and Promotion Requirements
To remain an active Ambassador, you must:

Post to your primary social media feed (platform with the highest traffic) within 60 days of receiving the assigned "Product" (jewelry and accessories).

Posts must include Baublebox's product(s) and tag Baublebox's official social media account(s).

Story posts are encouraged but do not replace the feed post requirement.

The complimentary Welcome Package does NOT count as "Product" for the purposes of this requirement but is encouraged for posts.

Posts should align with Baublebox's brand and aesthetic.

Failure to meet the posting timeline or tagging requirement may result in forfeiture of commissions and possible termination from the program.
3. Content Ownership and Usage Rights
By participating in the Ambassador Program, you retain full ownership and copyright of any content you create (including photos, videos, and text). However, you grant Baublebox an unrestricted, royalty-free, perpetual license to:

Use, repost, share, edit, or repurpose your content for promotional campaigns, advertisements, social media, email marketing, and other marketing purposes.

Use the content without additional compensation to you or concern for copyright claims.
If you wish to do a collaborative post, Baublebox reserves the right to review and approve it before publication to Baublebox's social pages.
4. Additional Opportunities
Ambassadors who meet the program criteria will have the opportunity to participate in exclusive events, including:

Local Los Angeles photoshoots and collaborations.
Criteria for Participation:

Must have a proven ability to self-report to photoshoot and event locations.
-
Must post (3) Stories throughout photoshoot day & tag Baublebox
-
Opportunity to collaborate on posts, but NOT mandatory
-
Must demonstrate steady, authentic traffic to social media platforms.
-
Must align with Baublebox's product niche and aesthetic.
5. Termination and Consequences
Baublebox reserves the right to terminate this agreement under the following circumstances:

Misconduct: If an Ambassador displays inappropriate, unprofessional, or harmful behavior.

Failure to Meet Terms: If an Ambassador fails to complete the posting requirements outlined above, including proper tagging and content posting within the stated 60-day timeframe.

Baublebox may also charge the Ambassador to recover costs associated with the missed promotional deliverables.

Termination by Either Party: Either Baublebox or the Ambassador may terminate this agreement at any time with written notice. Ambassadors are responsible for ensuring all pending obligations are fulfilled prior to termination.
Termination is at Baublebox's sole discretion and will result in forfeiture of any pending commissions.
6. Communication and Updates

By participating in the Ambassador Program, you agree to be added to Baublebox's email list for updates, PR opportunities, and future communications.

Baublebox will provide regular email updates to keep Ambassadors informed about new jewelry collections, products, and details. These updates are designed to ensure Ambassadors share accurate and up-to-date information about Baublebox products.

Ambassadors are required to share the most current information as provided by Baublebox. Spreading false or outdated information may result in termination of the agreement and potential consequences, including liability for any damages caused.

You may unsubscribe from marketing emails at any time; however, certain communications related to the Ambassador Program may still be sent.
7. Ambassador Responsibilities

Ambassadors are responsible for ensuring the accuracy of their promotional efforts.

Ambassadors are prohibited from making false claims, misrepresentations, or unethical marketing practices while promoting Baublebox.

Ambassadors must comply with the Federal Trade Commission (FTC) guidelines (Learn more here) for endorsements and testimonials, including clearly disclosing their ambassador relationship with Baublebox in all promotions.

If Ambassadors share false information or fail to represent Baublebox products accurately, Baublebox reserves the right to terminate this agreement immediately. Any consequences arising from such actions will be the Ambassador's sole responsibility and may be used against them if necessary.

Ambassadors are responsible for any taxes or reporting obligations associated with commissions earned through this program.
8. Limitation of Liability
Baublebox will not be liable for:

Lost earnings due to improper use or promotion of unique URLs.
-
Third-party issues, such as social media account suspensions, technical glitches, or follower disputes.
-
Any indirect, incidental, or consequential damages arising from your participation in the Ambassador Program.

Lost or missing products once they have been delivered. Replacement of jewelry will only be offered if it qualifies under Baublebox's 1-Year Warranty Policy or if the jewelry begins to tarnish and a photo is provided.

Baublebox reserves the right to refuse sending replacement jewelry if misuse of products is suspected, such as attempts to wrongfully claim free products under the warranty policy.
Ambassadors must carefully review Baublebox's Jewelry Care Page, which outlines proper care instructions. Jewelry should not be exposed to water for prolonged periods and should avoid sweat, moisture, and harsh chemicals.
9. Dispute Resolution, Jurisdiction, and Governing Law

Dispute Resolution: In the event of a dispute, both parties agree to attempt resolution through mediation or arbitration before pursuing formal legal action.

Jurisdiction and Governing Law: This agreement shall be governed by the laws of Los Angeles, California. Any disputes will be resolved in the courts of Los Angeles, California, unless otherwise agreed upon by both parties.

Force Majeure: Neither Baublebox nor the Ambassador shall be held liable for delays or failures in performance caused by acts beyond their reasonable control, including but not limited to natural disasters, government actions, labor strikes, pandemics, or technical failures.
10. Agreement Acceptance
By participating in the Baublebox Ambassador Program, you acknowledge and agree to these Terms and Conditions. Baublebox reserves the right to modify these terms at any time, with or without prior notice. Continued participation in the program constitutes acceptance of any updates.
